Further to the announcement published on the Securities Exchange News Service of
the JSE Securities Exchange South Africa (the "JSE") on Friday, 2 April 2004,
shareholders of Ahealth are advised that the scheme of arrangement proposed by
Bidco between Ahealth and its shareholders (the "scheme") was sanctioned by the
High Court of South Africa (Witwatersrand Local Division) (the "Court") on
Tuesday, 6 April 2004.
The implementation of the scheme is still subject to the fulfilment of the
following conditions precedent:
a certified copy of the Order of Court sanctioning the scheme being duly
registered by the Registrar of Companies in terms of the Companies Act; and
all and any approvals required from the Competition Commission or Tribunal in
terms of the Competition Act, 89 of 1998, for the implementation of the
transaction being duly obtained.
As the implementation of the scheme is still subject to the fulfilment of the
aforementioned conditions precedent, the estimated last day to trade on the JSE
for Ahealth shareholders to be eligible to receive the scheme consideration has
been postponed from Wednesday, 7 April 2004 to a date to be advised. As a result
thereof, the remaining estimated salient dates have also been postponed to dates
to be advised. A further announcement incorporating the revised salient dates
and advising on the fulfilment of the remaining conditions precedent will be
made in due course.
