Nature of transaction: Mr. Maree has accepted an offer to acquire 500 000
ordinary shares allocated to him in terms of the
Standard Bank Group Share Incentive Scheme on 11 March
2004 at a price of R40.65. Mr Maree will be entitled to
delivery of 50%, 75% and 100% of the shares in 2006,
2007 and 2008 respectively.
