RESULTS OF GENERAL MEETING TO EFFECT THE PRO RATA OFFER
Shareholders of Digicore are referred to the Digicore announcements published in
the press on 5 March 2004 and 26 March 2004 and the circular to Digicore
shareholders dated 26 March 2004 regarding the pro rata offer to shareholders to
repurchase 40% of their shares at a price of 60 cents per share (the pro rata
offer).
At a general meeting of Digicore shareholders held at 09:00 on Tuesday, 20 April
2004, the ordinary and special resolutions tabled at the meeting to give effect
to the pro rata offer, were approved by the requisite majorities. The special
resolutions have been lodged with the Registrar of Companies for registration.
Payment to shareholders, who accepted the offer, will be made on 10 May 2004.
