CAUTIONARY ANNOUNCEMENT
Investec Bank Limited is authorised to advise that discussions are taking
place between Reunert Limited ("Reunert") and CS Holdings regarding a
potential offer for the shares in or the underlying assets and liabilities of
CS Holdings for an effective cash consideration of 35 cents per CS Holdings
share ("the proposed transaction").
Reunert currently holds 31.7% of CS Holdings" issued share capital.
Institutional shareholders representing 33.8% of the CS Holdings shares held
by all CS Holdings shareholders other than Reunert have provided irrevocable
undertakings, subject to certain conditions precedent, to vote in favour of
or accept the proposed transaction, should it be implemented.
CS Holdings shareholders are further advised that the company will issue a
trading statement on or about Wednesday, 28 April 2004.
CS Holdings shareholders are accordingly advised to exercise caution when
dealing in their CS Holdings shares until a further announcement is made.
