Results of general meeting
A general meeting of Comparex shareholders was held on Friday, 30 April 2004
("the general meeting") to consider the ordinary and special resolutions
relating to the proposed transactions set out in a circular ("the circular") to
Comparex shareholders dated 8 April 2004 ("the proposed transactions").
Investec Bank Limited is authorised to announce that the necessary resolutions
to approve the proposed transactions were passed by the requisite majority of
Comparex shareholders at the general meeting.
The only remaining condition precedent to the proposed transactions is the
registration of the special resolutions contained in the circular by the
Registrar of Companies. A further announcement will be made by Comparex once
the remaining condition precedent has been fulfilled, which announcement will
set out the finalised salient dates relating to the proposed transactions.
Shareholders are referred to paragraph 10 of the circular setting out the tax
effects of the proposed transaction on a Comparex shareholder. Comparex
shareholders are advised that 17,88 cents of the dividend of 550 cents per
Comparex share declared on 23 February 2004 was subject to Secondary Tax on
Companies.
