CHANGE IN THE BOARD OF DIRECTORS
In compliance with section 3.59 of the Listings Requirements of the JSE
Securities Exchange South Africa, Mutual & Federal shareholders are advised that
at the meeting of the board of directors held on 4 May 2004, Mr R O Hudson and
Mr S P G Lee resigned as directors of the Company following the sale by RSA
Overseas Holdings (Luxembourg) (No 1) Sarl of its shareholding in Mutual &
Federal.
Furthermore, Mr C F Liebenberg resigned as a director of the Company with effect
from 4 May 2004 upon attaining the mandatory retirement age.
