CONCLUSION OF DISTRIBUTION AGREEMENT, SPECIFIC ISSUE OF SHARES FOR CASH AND
WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT
LPC Manhattan Sponsors (Proprietary) Limited is authorised to announce that
further to the cautionary announcement dated 19 February 2004, negotiations
between Vinguard Limited (Vinguard), an operational subsidiary of JDH, and
Mondi Limited (Mondi) have been satisfactorily concluded. In terms of the
agreement that has been reached Mondi has secured the exclusive world-wide
rights to market and distribute the VinguardTM product through its existing
local and global network and has further agreed that if the proposed issue of
shares by Vinguard to raise 9.1 million rand is fully subscribed, it will
convert its R3 million loan to Vinguard into Vinguard shares at 60 cents per
Vinguard share. In this event, Mondi will increase its existing 10% holding in
Vinguard to 15%. The proposed issue of shares by Vinguard is subject to the
approval of a specific issue of shares for cash by JDH shareholders who will be
sent a circular, which is currently being prepared.
Shareholders are accordingly advised that caution need no longer be exercised
when dealing in the companys shares.
