FURTHER CAUTIONARY ANNOUNCEMENT AND RESIGNATION OF DIRECTORS
Shareholders are referred to the SENS announcement released by Enterprise
Outsource Holdings Limited ("EOH") on 17 May 2004, to the effect that it intends
making an offer for the shares in or the business of the company. The company
confirms that it is in discussions with EOH in this regard. EOH has indicated
that, on the basis of the review of information which it has requested from the
company, it should be in a position to make an offer within 10 days.
Shareholders are also informed that Reunert Limited late on 17 May 2004 informed
the company that it will not, at this stage, be proceeding with its proposed
acquisition of the shares in or business of the company, as announced on 26
April 2004.
Simultaneously, Reunert"s representatives on the company"s board, Messrs G
Pretorius and P Gallagher have resigned as non-executive directors of the
company, effective from 17 May 2004.
Shareholders are accordingly advised to continue to exercise caution in dealing
in the company"s shares until a further announcement is published.
