(`Anglo Platinum` or `the Company`)
RESULTS OF THE RIGHTS OFFER OF 40 000 000 CONVERTIBLE PERPETUAL CUMULATIVE
PREFERENCE SHARES
RESULTS OF THE RIGHTS OFFER
The directors of the Company are pleased to announce the results of the rights
offer of 40 000 000 convertible perpetual cumulative preference shares with a
par value of one cent each in the share capital of the Company (`preference
shares`) to shareholders of the Company (`the rights offer`). Including excess
applications, the rights offer was over subscribed, as set out below.
- The Company received an irrevocable undertaking from Anglo South Africa
Capital (Proprietary) Limited (`ASAC`) to subscribe for or procure subscriptions
for all the preference shares to which it would have been entitled as a
shareholder in the Company. Of the total number of preference shares available
for issue in terms of the rights offer, 74.8%, amounting to 29 908 480
preference shares, will be issued to ASAC.
- Other shareholders and their renouncees subscribed for 9 525 063 of the
remaining 10 091 520 preference shares. In total, 39 433 543 of the 40 000 000
preference shares available in terms of the rights offer were taken up, equating
to an acceptance rate of 98.6%.
- Excess applications were received for 2 447 817 preference shares. The 566
457 unsubscribed preference shares, available for allocation, were allocated in
accordance with the Listings Requirements of the JSE Securities Exchange South
Africa, taking into account the number of preference shares to which
shareholders were entitled, together with the number of preference shares taken
up, in terms of the rights offer. Where applicable, excess allocations were
rounded up to 100 preference shares, provided that the resultant number did not
exceed the number of preference shares for which application had been made.
Accordingly, the underwriters were not called upon to subscribe for any
underwritten preference shares.
