The Trustees of the Digicore Holdings Share Trust (`the Trustees`) have approved
a regular grant of options on ordinary shares in Digicore in terms of the
Digicore Holdings Limited Share Trust Scheme (`the Scheme`) totaling 1 345 600
shares on 31 May 2004 at a strike price of 60 cents per share being the closing
price of the shares on 28 May 2004. This announcement reflects the acceptance in
terms of the Scheme of the grants on 1 345 600 share options.

Options granted under the scheme will vest at a rate of 20% on each of the
