COMMENTARY
There has been no improvement in your company`s financial fortunes during the
reporting period, despite strenuous efforts being made to complete the
transactions initiated during the reporting period.
The losses as reported include further impairments of over R3 million made on
a very conservative basis.
As reported previously, your company entered the short-term insurance
industry, but regrettably the prospects did not withstand the due diligence
review conducted by the company.
Furthermore, your company entered into an agreement with Anglo Dutch Holdings
Limited for the recapitalisation of the group`s life insurance licence. Anglo
Dutch Holdings Limited subsequently procured the change of name of the life
company from Incentive Life Limited to Anglo Dutch Life Limited, but then did
not introduce the required capital for the recapitalisation of the company, as
agreed. Regrettably a legal dispute has arisen with Anglo Dutch Holdings
Limited.
As a result, alternative recapitalisation options are being considered by the
board of the life insurance company.
The unexpected and extended delays in the final award of the taxi
recapitalisation bid, in which your group is participating with a finalist,
has again delayed the expected revenues and created further holding costs.
These events may affect the ability of the group to continue as a going
concern.
Post-year-end, further rationalisation is being conducted, with a renewed
effort to redirect the corporate finance activities into new projects, a
number of which are at an advanced stage.
In light of the group`s results, no dividend is contemplated.
This report has been prepared in accordance with the group`s published
accounting policies which comply with South African Statements of Generally
Accepted Accounting Practice which are consistent in all respects with those
applied in the previous financial year.
These consolidated results have been reviewed by Fisher Hoffman PKF (Jhb) Inc,
whose unqualified review report is available for inspection at the registered
office of the company. The review report does include a matter of emphasis as
follows: `Without qualifying our review opinion, we draw attention to the
directors` comments on the ability of the group to continue as a going
concern. Although the group`s liabilities do not exceed its assets at year-
end, the continued losses indicate the existence of a material uncertainty
which may cast significant doubt about the group`s ability to continue as a
going concern.`
