RESTATEMENT OF COMPARATIVES
A recent ruling given by the GAAP Monitoring Panel has provided more clarity
regarding the consolidation of share incentive scheme trusts.
Consequently the Group has changed its accounting policy in respect of its share
incentive trust (`share incentive trust`). The share trust is now consolidated
to the extent that the Group issued share capital is under the control of the
Group. These shares are shown as treasury shares. The prior year comparatives
have been restated as follows:

COMMENTS
Results
The results for the year ended 31 March 2004 mark another improvement over the
previous financial year.
Turnover has increased 48% over the same period in 2003. Earnings per share have
increased from 17,3 cents per share to 23,1 cents, a rise of 33,5%.
Share repurchase
At the Annual General Meeting held on 4 September 2003, members passed a special
resolution authorising inter alia, the purchase of a maximum of 25 645068 shares
in Schamin. By March 2004 when the company entered into its closed period a
wholly owned subsidiary had purchased 4 177306 at a cost of R2 961924 giving an
average cost of 70,9 cents per share.
We shall continue to adopt a cautious approach to repurchases taking into
account the cost of capital as well as our cash requirements. Circumstances will
therefore dictate the extent of future repurchases.
Prospects
The current order book is sufficient to maintain current levels of
profitability. The Group will continue to look to new ventures that add value to
the current operations.
Dividend
A final dividend of 2,5 cents per share has been declared (1,75 cents - 2003)
subsequent to year-end and will be payable on Monday, 28 June 2004 to
shareholders recorded in the register as such at close of business on Friday, 25
June 2004, being the record date in order to participate in such dividend. The
last day to trade cum-dividend is Friday, 18 June 2004. The share will trade ex-
dividend from Monday, 21 June 2004. There will be no
rematerialisation/dematerialisation between Monday, 21 June 2004 and Friday, 25
June 2004, both days inclusive.
In accordance with Generally Accepted Accounting Practice Statement AC107, the
final dividend of 2,5 cents declared by the directors has not been reflected in
the financial statements.
Accounting policies
These financial results are prepared in accordance with South African Statements
of Generally Accepted Accounting Practice. The Group`s accounting policies have
been altered in order to comply with the requirements of AC132: Consolidated
Financial Statements and Accounting for Investments in Subsidiaries. This change
has been effected as a prior year adjustment. Save for this change and the
consolidation of the share incentive trust the accounting policies are
consistent with those applied in the preparation of the audited financial
results for the previous year.
