DEALING IN SHARES BY A DIRECTOR
Mr Mark Richard Bower, Chief Executive: Group Services, and his family trust
have purchased 88 483 Edcon Ordinary Shares over which they had options issued
on 10 March 1999 and 20 November 2000, which vested on 10 March 2002 and 1 June
2004. The details of these transactions are as follows:
Transaction Date: 22 June 2004
Number of Shares: 88 483
Class of Security: Ordinary shares of 10 cents each
Strike/Purchase Price: 2730 cents for 80 000 options
Strike/Purchase Price: 2180 cents for 8 483 options
Aggregate value: R2 716 923.40
Nature of Transaction: Purchase
Extent of interest: 80 000 of the above shares will be held indirectly
beneficially in Mr Bower`s family trust and the
balance, being 8483 shares will be held in his own
name for his direct benefit
Dr Urin Ferndale, Group Human Resources Director has purchased 18507 Edcon
Ordinary Shares over which he had options issued to him on 11 March 1999, the
final tranche of which vested on 10 March 2002 and a further issue on 20
November 2000, the second tranche of which vested on 1 June 2004. The details
of these transactions are as follows:
Transaction Date: 22 June 2004
Number of Shares: 18 507
Class of Security: Ordinary shares of 10 cents each
Strike/Purchase Price: 2900 cents for 12 000 options
Strike/Purchase Price: 2180 cents for 6 507 options
Aggregate value: R489 852.60
Nature of Transaction: Purchase
Extent of interest: Direct beneficial
In terms of Section 3.66 of the JSE Listings Requirements prior clearance for
the two executive directors above to deal in the above securities has been
obtained from Mr A J Aaron, Chairman of the Remuneration and Nominations
Committee of Edcon.
