Cautionary announcement regarding the proposed introduction of a black economic
empowerment (`BEE`) partner into Grinaker-LTA Limited and Trident Steel Holdings
(Proprietary) Limited
Aveng shareholders are advised that Aveng and a BEE Consortium have reached
agreement in principle with respect to the introduction of such BEE Consortium
as shareholders of Grinaker-LTA Limited and Trident Steel Holdings (Proprietary)
Limited, both of which companies are wholly owned subsidiaries of Aveng
(`proposed BEE transaction`). The BEE Consortium comprises of a lead BEE
partner and significant broad based beneficiaries.
The proposed BEE transaction remains subject to certain regulatory, Government
and shareholder approvals, and if successfully concluded may have an effect on
the market price at which Aveng`s shares trade on the JSE Securities Exchange
South Africa. Aveng shareholders are accordingly advised to exercise caution in
dealing in their shares until a further detailed announcement is made.
