NOTICE OF ADJOURNMENT OF GENERAL MEETING AND SCHEME MEETING
Shareholders are referred to the Putco announcement dated 23 June 2004,
which contained the salient dates of a proposed scheme of arrangement (`the
scheme`) in terms of section 311 of the Companies Act No. 61 of 1973, as
amended (`Companies Act`) between Putco and its shareholders, other than
Lexshell 603 Investments (Proprietary) Limited, pursuant to which Putco is
to acquire in terms of section 85 of the Companies Act, as a specific
repurchase of shares, all of the shares held by such shareholders.
Shareholders are advised that the general meeting held at 11:00 and the
scheme meeting held at 11:30 today have been adjourned until 11:00 and 11:30
(or so soon thereafter as the general meeting is concluded or adjourned),
respectively, on Tuesday, 3 August 2004. Both meetings will be held in the
company`s boardroom at Mimosa Park, 5 Mimosa Way, Gallo Manor, Sandton.
The matter before the general meeting and the scheme meeting at the time
they were adjourned was that a number of proxy forms which were received, in
respect of the general meeting and the scheme meeting were not in order, in that
the proxy grantors were not reflected as shareholders in the company`s sub-share
register. The reason for the adjournment is to enable the company to verify the
validity of such proxy forms and to give such shareholders the opportunity to
attend and / or vote at the general meeting and scheme meeting respectively.
The company will notify the persons who have submitted the proxy forms in
question. Given the nature of this process, shareholders are notified that only
those shareholders who were registered at the close of business on Friday, 16
July 2004 will be eligible to vote at the aforementioned meetings.
The revised expected dates and times pertaining to the scheme will, if so
required, be announced on the Securities Exchange News Services and the press
after the conclusion of the adjourned meetings.
