RESULTS OF GENERAL MEETING
Deutsche Securities (SA) (Proprietary) Limited (`Deutsche Securities`) is
authorised to announce the results of the general meeting of SA Chrome
shareholders, held today, Wednesday, 21July 2004, convened in terms of the
notice of general meeting contained in the circular to SA Chrome shareholders
issued on 29 June2004.
Shareholders of SA Chrome are advised that the ordinary resolution to approve
the agreement (`the Agreement`) reached with Xstrata South Africa (Proprietary)
(`Xstrata`) Limited to establish a shared venture in terms of which SA Chrome
and Xstrata will pool their respective South African chrome and ferrochrome
assets and share in the earnings before interest, tax, depreciation and
amortisation therefrom, and the special resolutions to effect an increase in the
authorised share capital of SA Chrome were passed by the requisite majority of
SA Chrome shareholders at the general meeting. The special resolutions will be
lodged for registration with the Companies and Intellectual Property
Registration Office.
Deutsche Securities is also authorised to announce that the last suspensive
condition of the Agreement, relating to the receipt of favourable tax rulings
from the South African Revenue Service, has been met.
