RESIGNATION OF DIRECTOR

Listings Requirements in respect of a change to the Board of Directors, Mathomo
shareholders are informed that Mr Larry Serman has resigned as a director of
Mathomo, with effect from 4 August 2004.
Leslie Matuson, an existing board member, will act as interim CEO of Mathomo.
