UPDATE ON ACQUISITION OF JIGMINING (PTY) LTD (`Jigmining`)
Radagast Capital (Pty) Ltd and River Group are authorised to announce that,
further to the announcement dated 2 June 2004 detailing the acquisition by the
company of the entire issued share capital of Jigmining, all the conditions
precedent to the agreement between Jigmining and the New Africa Mining Fund have
been fulfilled. As a consequence, the acquisition of Jigmining by Zenith is now
subject only to approval by the requisite regulatory authorities and the
requisite majority of Zenith shareholders.
A circular containing full details of the acquisition, and incorporating revised
listing particulars and a notice of a general meeting of Zenith shareholders, is
being prepared and will be posted to shareholders in due course.
