INCREASE IN THE PRICE OF THE MANDATORY OFFER MADE BY MIC, SALIENT DATES AND
WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT
INTRODUCTION
Shareholders are referred to the announcement published on SENS on 2 June 2004
in which they were informed that MIC exercised an option (`the option`), granted
by Standard Bank of South Africa Limited, which resulted in the MIC Group
holding 50,01% of the entire issued share capital of Mathomo. The exercise of
the option constituted an affected transaction under the Securities Regulation
Code on Takeovers and Mergers and MIC was obliged to make a mandatory offer in
terms of the Code (`the offer`) to all the remaining shareholders of Mathomo at
a price of 68.01 cents per Mathomo share (`offer price`).
INCREASE IN OFFER PRICE
Shareholders are now informed that the offer has been increased to 68.49 cents
per Mathomo share, payable in cash.
SALIENT DATES
The circular to shareholders has been finalised and will be posted on Thursday,
2 September 2004. Set out below are the other salient dates and times applicable
to the offer:

Opening date of the offer (12h00) Thursday, 2 September
Last day to trade Thursday, 16 September
Shares trade `ex` the offer Friday, 17 September
Closing date of the offer (12h00) Thursday, 23 September
Dematerialised shareholders are
required to notify their CSDP or
broker of the acceptance of the
offer by the cutoff time stipulated
by their CSDP or broker in terms of
their agreement with the CSDP or
broker
Record date Thursday, 23 September
Results of offer to be announced
in the press Monday, 27 September
CSDP or broker accounts to be
updated and credited on Monday, 27 September
Cheques to be posted to and at
the risk of certificated
shareholders who have
accepted the offer and
submitted their documents of
title before the closing date.

Notes:

WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT
With the finalisation of the offer, shareholders are no longer required to
exercise caution in their dealings in Mathomo shares.
