ADDITIONAL INFORMATION RELATING TO A FIRM INTENTION TO MAKE AN OFFER TO
SHAREHOLDERS IN FORIM AND ALLIANCE AND FURTHER CAUTIONARY ANNOUNCEMENT
Shareholders of the companies are referred to the announcement published on SENS
dated 31 August 2004 wherein it was advised that Thebe had submitted a firm
offer to the board of directors of Forim and Alliance (`the Boards`) to acquire
the entire issued share capital of Forim and Alliance other than the issued
share capital held by Thebe and the Alliance shares held by Forim for a cash
consideration of 68 cents per Forim share and 40 cents per Alliance ordinary and
`N` ordinary share (`the consideration`), subject to certain conditions
precedent.
In addition, the Boards and Thebe wish to advise that the consideration will
attract interest in favour of Forim and Alliance shareholders at a rate of 7.5%
per annum, compounded monthly in arrears from 27 August 2004 until the date of
payment (both days inclusive).
A further announcement setting out the details and salient dates of the
transaction will be made in due course.
