FINAL INCREASE OF THE SCHEME CONSIDERATION TO R2.00 PER IST SHARE, AMENDMENT TO
THE COMPOSITION OF THE CONSORTIUM AND ADJOURNMENT OF THE SCHEME MEETING
1. Introduction
Shareholders are referred to the IST announcement dated 12 July 2004, which
appeared on SENS and in the press. The announcement contained details of a
scheme of arrangement in terms of section 311 of the Companies Act, 1973 (Act 61
of 1973), as amended (`the scheme`) proposed by Manupont 198 (Proprietary)
Limited (`Manupont`), between IST and its shareholders, in terms of which
Manupont will acquire all of the shares in IST.
Manupont is the offeror in terms of the scheme. If the scheme is implemented, it
will result in Manupont becoming the owner of the entire issued share capital of
IST. Manupont is wholly owned by Swanvest 320 (Proprietary) Limited
(`Swanvest`). The shareholders of Swanvest are the members of a consortium led
by Ethos Private Equity Limited, which has been formed for the purposes of
acquiring IST in terms of the scheme.
On 19 August 2004, the salient dates and times and supplementary information
relating to the scheme were announced on SENS and in the press, and a circular
containing full details of the scheme was posted to IST shareholders.
2. Final increase of the scheme consideration
On Tuesday 7 September 2004, Manupont advised the IST board that it had
increased the scheme consideration from R1.80 per IST share to a final offer of
R2.00 per IST share and that the scheme consideration will not be further
increased. Shareholders are advised that this statement by Manupont constitutes
a `no increase statement` in terms of the Securities Regulation Code and Rules
of the Securities Regulation Panel (`the SRP Code`) and accordingly, Manupont is
prohibited from further increasing the offer consideration.
Furthermore, in terms of the SRP Code, if the scheme is unsuccessful, Manupont
will be prohibited from making a subsequent offer to acquire IST for a period of
12 months from the date of the scheme meeting.
3. Amendment to composition of the consortium
Shareholders are advised of a revision in the percentage interest held in
Swanvest, the ultimate shareholder of Manupont, by ICT Investments (Proprietary)
Limited (`ICT`). ICT, a BEE shareholder, will increase its shareholding in
Swanvest from 12.5% plus one share to 25.0% plus one share. Initially this
additional 12.5% interest was to have been warehoused by Ethos Private Equity
Fund IV and Ethos Technology Fund I, to be made available in due course to an
appropriate BEE partner.
The revised interests of the consortium members in Swanvest are as follows:
Percentage interest
Ethos Private Equity Fund IV and
Ethos Technology Fund I 52.70
ICT Investments (Proprietary) Limited,
a BEE shareholder 25.00
IST management 20.00
AD Moffat 1.15
L Robertson 1.15
100.00

share. Accordingly, although the scheme meeting convened to be held at 10:00 on
Monday 13 September 2004 will be held on that date, the Chairman of the scheme
meeting will be requested to adjourn the scheme meeting until 10:00 on Monday 27
