RESULTS OF SCHEME MEETING
Further to the announcement dated 19 July 2004, Admiral shareholders are advised
that the scheme of arrangement proposed by Austrian Gaming Industries GMBH, a
company incorporated in Austria (`AGI`) in terms of Section 311 of the Companies
Act, 1973 (Act 61 of 1973), as amended (`the scheme`), between Admiral and its
shareholders, apart from AGI and senior management (`the scheme members`) was
approved, without modification, by the requisite majority of scheme members, at
the scheme meeting held on Monday, 13 September 2004.
Application will be made to the High Court of South Africa (Transvaal Provincial
Division) (`the Court`) to sanction the scheme on Tuesday, 21 September 2004 at
10:00 or as soon thereafter as Counsel may be heard. If the scheme is
sanctioned by the Court the only remaining condition precedent for
implementation of the scheme will be the registration of the Order of Court
sanctioning the scheme by the Registrar of Companies.
A further announcement regarding the outcome of the application to the Court
will be published on or about Thursday, 23 September 2004. The salient dates
and times as set out in the announcement of Wednesday, 18 August 2004 remain
unchanged.
