FINANCIAL AND OPERATIONAL OVERVIEW
Overview
On 2 July 2004, Excellerate issued a trading update and cautionary announcement
indicating that the group`s earnings per share and headline earnings per share
for the year ended 30 June 2004 will be substantially and materially lower,
respectively, than that of the prior comparative period.
The group embarked upon a major restructuring exercise during the financial year
under review and the effects of the restructuring are evident in these financial
results. Results for the year were adversely affected by set-backs in the
group`s food trading business as well as by the once-off costs related to the
restructuring of the organization. The restructuring exercise saw the departure
of the former executive chairman, the moving of the two former divisional
chairmen into operational roles and various other efforts to reduce costs in the
group. The group now has a strong management team in place to take the group
forward on a new path of growth.
Operational review
The group`s revenue increased by 6% to R393,4 million. Operating profits reduced
to R17,3 million due mainly to the food trading losses. The group underwent a
process of assessing its goodwill in terms of accounting statement AC128 and
found that the goodwill should have been impaired at the end of the 2003
financial year. This resulted in the restatement of 2003 results by reducing
that year`s profits by R18,5 million and a further R1,8 million has been
impaired in the current year. Several other adjustments to the comparative
information have been made as more fully disclosed in the group`s annual
financial statements.
Trading - distribution
The non-food trading division comprising Goldenmarc, Hypertrade, Louis Smiedt
and Ferrengi performed exceptionally well and outperformed management`s
expectations for the year. Foodserv also performed exceptionally well this year
and more than doubled the expected results. In the food trading business, the
strengthening of the rand saw increased competition in the market with new
entrants being attracted by the lower cost of importation. In addition, Alpine
Importers experienced several set-backs while trying to regain its listing
status with key retailers. These other adjustments did not have a material
effect on the group`s results.
Services
The parking business of Interpark focused on right-sizing and rationalizing the
business. Sterikleen together with Autoclenz maintained a steady performance and
grew on the previous years` profits to a satisfactory level. Levingers continues
to grow at a steady pace with new store openings in Pretoria and Johannesburg.
Prospects
The outlook is good for all the businesses, with the highest growth expected in
the trading segment. The group has set for itself a growth strategy with
acquisitive growth focused on trading-distribution, while the services
businesses will continue to grow organically.
Accounting policies
The financial information contained in this announcement for the year ended 30
June 2004 has been prepared in accordance with South African Statements of
Generally Accepted Accounting Practice and includes the effect of consolidating
the Excellerate Employee Share Trust. The accounting policies used are
consistent with those of the previous year.
This financial information has been audited by the group`s auditors, Grant
Thornton. The unqualified audit opinion is available for inspection at the
company`s registered office.
