CAUTIONARY ANNOUNCEMENT
Shareholders are advised that the Board of the company is in receipt of a letter
regarding a firm intention by a third party offeror (being a company listed on
the JSE Securities Exchange South Africa to offer to purchase all or a lesser
number of the ordinary issued shares in the capital of the company via a scheme
of arrangement in terms of Section 311 of the Companies Act, Act 61 of 1973
(`the offer`).
The Board is in the process of consulting with, inter-alia, its professional
advisor/s and the relevant regulatory bodies as it is, prima facie, of the
opinion that the offer is defective, does not comply with the Securities
Regulation Code on TakeOvers and Mergers and is also incapable of implementation
in the form in which it is proposed. Given the significant uncertainty
surrounding the offer and the fact that the offer may potentially have a
significant effect on the price of the company` securities, shareholders are
advised to exercise caution when dealing in the company`s securities until a
further announcement is made.
It is anticipated that a further announcement in this regard will be published
on or about Friday, 15 October 2004.
