RESULTS OF ANNUAL GENERAL MEETING (`AGM`)
Shareholders of the company are referred to the announcement published on SENS
on 22 September 2004 and the 2004 Schamin annual report posted to shareholders
on the same day. The 2004 annual report incorporated the notice of AGM which,
inter alia, included certain resolutions pertaining to a specific issue of
shares to a Black Economic Empowerment partner for cash (`the specific issue of
shares`).
Shareholders are now advised that in the AGM held today:
- resolutions 1 - 4 were approved by the requisite majority of shareholders; and
- resolutions 5 - 8, being the placement of the un-issued shares under the
control of the directors, a general authority for the directors to issue shares
for cash and the resolutions relating to the specific issue of shares were not
approved by the requisite majority of shareholders. Accordingly, the specific
issue of shares will not be implemented.
