RESULTS OF PSG FINANCIAL SERVICES LIMITED`S PREFERENCE SHARE ISSUE
The directors of PSG Group are pleased to announce the following in respect of
the private placement and offer for subscription in respect of the 200 000 000
cumulative, non-redeemable, non-participating preference shares (`preference
shares`) in its wholly owned subsidiary, PSG Financial Services:
1. The private placement has been fully subscribed and irrevocable undertakings
have been received in respect of the following, with payment to be made prior to
the date of listing as set out below:
1.1 R190 985 000 preference shares have been placed with selected financial
institutions in terms of the agreed upon allocation mechanism as set out in the
private placement memorandum and overseen by PricewaterhouseCoopers Inc. This
private placement was accordingly closed on Friday, 29 October 2004;
1.2 The remaining preference shares, being R9 015 000, have been allocated by
the directors in their absolute and unfettered discretion on Monday, 1 November
2004 as set out in clause 5.5 of the Pre-Listing Statement issued on Thursday,
28 October 2004;
2. In the light of the overwhelmingly positive response to the private
placement, the directors have exercised their right as set out in the
aforementioned clause 5.5 of the Pre-Listing Statement and closed the offer for
subscription on Monday, 1 November 2004;
3. All preference shares have been allocated at a coupon rate of 75% of prime;
4. The preference shares will be listed on Friday, 19 November 2004.
The directors wish to thank all of those potential investors who indicated their
willingness to subscribe during this placement process.
