RESULTS OF GENERAL MEETING
Shareholders of Glodina are referred to the announcement released on SENS and
published in the press on 19 October 2004 as well as the circular to Glodina
shareholders dated 19 October 2004 regarding the following proposals:
- the disposal by Glodina of all its shares in and claims against Dano Textile
Industries (Pty) Ltd to Kolosus Holdings Limited (`Kolosus`);
- the distribution of the net proceeds (comprising solely of Kolosus shares) of
the disposal to Glodina shareholders; and
- the termination of the listing of Glodina shares on the JSE Securities
Exchange South Africa and the voluntarily winding-up of the company
(collectively, `the Glodina proposals`).
At a general meeting of Glodina shareholders held at 09:00 on Wednesday, 10
November 2004, the ordinary and special resolutions tabled at the meeting to
give effect to the Glodina proposals, were approved by the requisite majorities.
The special resolutions have been lodged with the Registrar of Companies for
registration. The listing of Glodina shares will be suspended from the
commencement of trade on Monday, 22 November 2004 and the Kolosus (to be renamed
KAP International Holdings Limited) consideration shares will be distributed to
Glodina shareholders on Monday, 29 November 2004.
