REVISION OF THE SALIENT DATES AND TIMES RELATING TO THE OFFER BY BTG TO ACQUIRE
THE ENTIRE ISSUED SHARE CAPITAL OF CSH
Further to the announcement dated 8 November 2004, CSH shareholders are again
advised that the Competition Commission, acting in terms of section 14A of the
Competition Act, has recommended to the Competition Tribunal that the
acquisition by BTG of the entire issued share capital of CSH be approved without
conditions. The Competition Tribunal will review this recommendation shortly.
The Listings Requirements of the JSE Securities Exchange South Africa (`JSE`)
and the Securities Regulation Code require that an offer, once unconditional (in
relation to the approval by the competition authority or in relation to
acceptances, respectively) must remain open for at least fourteen days after the
date on which it would otherwise have closed. Resultantly, it will be necessary
to extend the salient dates and times relating to the offer. However, only once
the response of the Competition Tribunal is obtained will BTG be in a position
to determine the last date to trade and the closing date.
Accordingly, CSH shareholders are advised that the last date to trade, the
closing date and other salient dates and times relating to the offer, as set out
in the announcement dated 29 October 2004, are no longer operative. The offer
remains open for acceptance. On receipt of the response of the Competition
Tribunal, CSH shareholders will be advised of the revised salient dates and
times relating to the offer by BTG to acquire the entire issued share capital of
CSH.
In the interim, CSH shareholders wishing to accept the offer are urged to do so
as soon as possible, so that on fulfilment of all the remaining conditions
precedent to the offer BTG can issue the offer consideration to those CSH
shareholders who have accepted the offer within five business days thereof, as
contemplated in the circular to CSH shareholders.
