COMPETITION TRIBUNAL APPROVAL
Vukile unitholders are referred to the announcements dated 7 September, 22
October and 8 November 2004 published by Vukile, regarding, inter alia:
* the proposed acquisition by Vukile of a 17.6% interest in MICC Property
Income Fund Limited (`MICC`); and
* the proposed offer by Vukile to acquire the entire issued capital of MICC,
other than the MICC linked units already acquired in terms of the
abovementioned acquisition, collectively, `the transaction`. The successful
implementation of the transaction will result in Vukile acquiring 100% of
MICC`s issued capital.
In this regard, Vukile unitholders are notified that Vukile has obtained
unconditional approval from the Competition Tribunal for the transaction.
Therefore, the only outstanding conditions precedent are the approvals required
from the JSE Securities Exchange South Africa, the Securities Regulation Panel
and the Vukile unitholders in general meeting.
A circular to Vukile unitholders, incorporating a notice of general meeting
containing the resolutions necessary to implement the transaction, and an offer
document to MICC unitholders, will be posted shortly.
