RESULTS ANNOUNCEMENT
Shareholders are advised that all the special and ordinary resolutions proposed
at the annual general meeting of the Company held at 10:00 on Monday, 22
November 2004, have been passed by the requisite majority of Dawn shareholders.
Shareholders are also advised that all the special and ordinary resolutions
proposed at the general meeting of the Company held at 10:30 on Monday, 22
November 2004, have been passed by the requisite majority of Dawn shareholders.
All the suspensive conditions relating to the acquisition by Dawn of a 78%
shareholding in Cobra Watertech (Pty) Limited (`acquisition`) have been
fulfilled and the acquisition is now unconditional. The effective date of the
acquisition will be Tuesday, 23 November 2004.
The issue of deferred ordinary shares to Dream World Investments 239 (Pty)
Limited (`DWI`) is still subject to the agreement between DWI and Imperilog
Holdings (Proprietary) Limited (`Imperilog`), in terms of which DWI will acquire
all Imperilog`s shares in Dawn, becoming unconditional. It is anticipated that
this condition will be fulfilled by 8 December 2004.
