1. PRIVATE PLACING COMPLETED
PSG Capital Limited is authorised to announce that in terms of the private
placing of shares in Arch Equity, as detailed in the Abridged Prospectus
published on 30 November 2004 and in the prospectus dated 1 December 2004, the
intended amount of R36 million (before expenses) was raised by the issue to
selected investors of 20 000 000 Arch Equity ordinary shares at 180 cents per
share (`the private placing`).
2. ALLOCATION OF SHARES
Arch Equity received irrevocable applications from selected investors for a
total of 33.6 million ordinary shares. The 20 000 000 ordinary shares made
available in terms of the private placing were allocated as follows: each
applicant was allocated its first 10 000 shares (or any portion thereof if the
applicant applied for less than 10 000 shares) and thereafter the balance of the
full number of shares applied for by each applicant was proportionately reduced
so that the total of all the selected investors` applications equalled 20
million shares.
3. LISTING OF ARCH EQUITY
As the required public shareholder spread has been achieved pursuant to the
private placing, the listing of the issued ordinary shares of Arch Equity on the
Alternative Exchange (`ALTX`) of the JSE Securities Exchange South Africa has
become unconditional. Accordingly, 143 628 501 ordinary shares in the share
capital of Arch Equity will be listed on ALTX from the commencement of trading
on Friday, 10 December 2004. The shares will trade under the abbreviated name
`Arch`, with share code `ACH` and ISIN ZAE000061073.
