The Chairman of Capital Alliance Holdings Limited approved all of the above, in
accordance with the group`s policy on director dealings in securities.
The above options were granted to the above directors on 22 October 2001 in
terms of the rules of the Capital Alliance Holdings Executive Share Trust. The
options are exercisable in 25% tranches on 22 October 2004, 22 October 2005, 22
October 2006 and 22 October 2007. Due to the 22 October 2004 being in a closed
period it was agreed by the directors of Capital Alliance Holdings and the
Trustees of the Capital Alliance Executive Share Trust that the options would be
released following the announcement of the financial results. At that stage the
options could not be exercised as the company was trading under a cautionary
announcement which cautionary announcement was withdrawn on 8 December 2004. In
future the options will be exercised on 30 September 2005, 30 September 2006 and
30 September 2007 which falls outside the closed period of the company.
