Merger of the mCubed Multi-Management and Momentum International Multi-Managers
(`MIMM`) operations
1. Further to the announcement published on SENS on Thursday 2 September 2004
and in the press on Friday 3 September 2004, shareholders of mCubed are
advised that mCubed and MIMM have concluded comprehensive, formal
agreements, including a shareholders` agreement.
2. The following conditions precedent still have to be met:
- the passing of the requisite resolutions approving the transaction by
mCubed shareholders in general meeting; and
- regulatory approvals, including the competition authorities, JSE
Securities Exchange South Africa (`JSE`), the South African Reserve Bank
and the Financial Services Board.
3. A circular to mCubed shareholders containing details of the transaction and
incorporating a notice of general meeting of shareholders will, subject to
approval by the JSE, be mailed to shareholders in due course. The general
meeting to pass the requisite resolutions is expected to be held in January
2005.
