COMMENT
These financial results reflect the initial impact of a process at Moneyweb of
restructuring and refocusing. Profitability was affected by the following
developments:
- The company`s broadcasting relationship with Classic FM ended on June 30,
resulting in a substantial negative impact on revenues. Although highly
profitable, the arrangement with this radio station precluded the company
from expanding its radio activities. New delivery channels have been
secured for the flagship Moneyweb Power Hour programme and after the
expected initial reverse, listenership has been growing strongly. As
anticipated, advertising revenues are taking longer to rebuild.
- One of the new broadcast partners, 1485amGold Radio Today, required
considerable financial and other assistance which Moneyweb provided as part
of its longer-term strategy of establishing independence in radio. Among
these was the provision by Moneyweb of a well resourced morning breakfast
show which was subsequently aborted.
- Because of the strategic relevance to the company, a decision was taken to
retain the global resources website Mineweb.com despite advances by an
American buyer. The decision to turn down the approach led to the departure
of some key staff members who had been negotiating the possible sale, with
a direct impact on revenues.
- Shareholders are aware that Moneyweb has been trading under cautionary for
some time. The cautionary announcement pertained to discussions with M&G
Media Limited (M&G), publishers of a weekly national newspaper. These
advanced beyond ideas of co-operation into serious negotiations on a full-
blown merger. This proved to be an expensive exercise for a company with
Moneyweb`s limited resources. Unfortunately the discussions have been
terminated resulting in the withdrawal of the cautionary announcement
referred to below.
- Additional costs were introduced through the company`s move into the
Afrikaans speaking market through a daily one hour business programme on
Radio Sonder Grense - RSG se Geldsake met Moneyweb.
- The company also made a strategic decision to beef up its sales team,
implementation of which had a negative impact on profitability in the short
term.
These actions combined to result in a disappointing reverse for a company which
since its founding in 1997, had only briefly dipped into the red.

ENERALLY ACCEPTED ACCOUNTING PRACTICE
These unaudited interim financial statements have been prepared in accordance
with South African Statements of Generally Accepted Accounting Practice. The
accounting policies used in the preparation of the unaudited interim financial
results are consistent with those used in the audited annual financial
statements for the year ended 31 March 2004.
COMPARATIVES
The comparative figures for the six months ended 30 September 2003 have been
restated in accordance with circular 7/2002 issued by SAICA and as a result of
the changes in accounting policies adopted in the year ended 31 March 2004 as
set out in the 2004 Annual Report.
These changes resulted in the consolidation of the group`s employee share
incentive trust, the restatement of gross revenue in order to include gross
revenue from the sale of mailings lists in revenue and the disclosure of
goodwill as a non-current asset.
These adjustments have had a negligible effect on headline earnings per share
and net asset value per share as reported in respect of the 6 months ended 30
September 2003.
PROSPECTS
The current financial year is being devoted to restructuring and putting the
business onto a stronger, more sustainable foundation. All of the actions taken
in the first half and the current restructuring will position the company for a
bright future. Radio advertising revenues are rising; the expensive breakfast
show has been aborted; Mineweb.com has been stabilized through the injection of
highly competent staff under the guidance of former Business Day editor Jim
Jones; and results from the expanded sales team led by radio veteran Gilda de
Araujo are gathering momentum.
However, losses sustained in the latter months of the period under review
continued into the second half. With the proposed merger now aborted,
management`s full focus is on bringing costs into line with the revenue base.
These measures are expected to result in a return to monthly profitability by
February and shareholders will be kept informed in that regard.
DIVIDENDS
In view of the operating performance of the company no dividend is declared.
WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT
As negotiations on a possible merger with M&G have been terminated, shareholders
are accordingly advised that the renewal of cautionary announcement released on
SENS on 16 November 2004 is withdrawn and caution is no longer required when
dealing in their Moneyweb shares on the JSE Securities Exchange South Africa.
