ANNOUNCEMENT TO SHAREHOLDERS OF BURLINGTON
PSG Capital Limited is authorised to announce that the directors of Burlington
have entered into discussions with its major shareholders in connection with the
delisting of the Company from the JSE Securities Exchange South Africa.
A letter will be forwarded to all minority shareholders in early January 2005
containing an irrevocable cash offer to shareholders, as well as a notice of a
general meeting to be held at 12:00 on Tuesday, 15 February 2005 at the
Company`s registered office, Corner 7th Avenue and Nyman Street, Maitland. The
ordinary resolutions regarding the delisting of the Company will be tabled for
approval at this meeting. No shareholder shall be obliged to dispose of any of
its shares in terms of the aforementioned cash offer.
