CAUTIONARY ANNOUNCEMENT
Shareholders are informed that an offer has been made to L.A. Group (or its
subsidiaries) in the first instance for it to repurchase 641 296 ordinary and 5
618 615 N-ordinary shares in the issued share capital of the company at a price
of R4,50 per share. The offer is open for acceptance until 28 January 2005.
The offer was made in the second instance to Mr AK Peer and/or his nominees
and/or any independent third party.
The board of directors of L.A. Group has decided to pursue the acceptance of
this offer subject to the necessary financial arrangements being put in place.
Accordingly, shareholders are advised to exercise caution when dealing in the
company`s securities until a further announcement is made.
