NOTES TO THE BALANCE SHEETS
1. Basis of accounting
These results are prepared in accordance with South African Statements of
Generally Accepted Accounting Practice and Schedule 4 of the Companies
Act, as amended, 1973. These accounting policies are consistent with
those used in the annual financial statements for the year ended 31 March
2004, except as noted below.
- During the year the Group adopted AC 140: Business Combinations, in terms
of which:
- goodwill is no longer amortised but is instead reviewed for impairment in
terms of AC 128: Impairment of Assets
- negative goodwill is immediately recognised in the income statement.
In accordance with the adoption provisions of AC 140 the balance of the
negative goodwill at the beginning of the period has been derecognised as an
adjustment to the opening accumulated losses and no adjustment has been made
to prior period figures.

(`the debentures`) 307 300 024 202 300 024 307 300 024
The terms of the debentures are set out in the debenture certificate attached
as Annexure 19 to the JCI circular dated 4 June 2002. Sasfin Bank Limited (`the
Trustee`) herein provides further clarification of the security provision
relating to the debentures.
The debenture trust deed required JCI to pledge as security for its obligations
in respect of the debentures, securities that are listed on the JSE Securities
Exchange South Africa (`JSE`) with an aggregate value at the time of pledge of
50% of the nominal value of the debentures. The number of listed securities to
be pledged was to be calculated with reference to the traded price of the
listed securities on the JSE at the closing of the market on the business day
immediately preceding the pledge date.
In the JCI provisional results announcement published on SENS on 14 July 2004
debenture holders were advised that JCI and the Trustee had agreed that JCI`s
obligations in terms of the debenture trust deed will be re-assessed on 15
September and 15 March of each year, based on the value of the listed securities
held in pledge as calculated with reference to its preceding 15-day weighted
average trading price on the JSE. Should the security ratio at that time be
calculated at less than 50%, additional listed securities will be pledged to
increase the security ratio to a minimum of 50%. Should the security ratio at
that time exceed 55%, the listed securities held in pledge will be reduced to a
level such that the security ratio at that time remains equal to or greater than
52,5%.
Debenture holders are advised that the value of the current listed securities
pledged, based on the closing prices on the JSE at 20 December 2004 was
R175 124 563, representing a security ratio of 45,6%. The listed
securities pledged include Randgold & Exploration Company Limited
(7 195 900 shares), Simmer and Jack Mines, Limited
(85 540 655 shares) and Western Areas Limited (3 050 000 shares).

COMMENTARY
As indicated in the 2004 JCI annual financial statements, JCI`s interests in
various empowerment joint ventures are being sold to OrlyFunt, a BEE company.
The full details of this transaction were announced in the press on 10
December 2004. This transaction results in the establishment of a new BEE
capital base to partner JCI in similar future ventures, and importantly,
creates the mechanism for JCI to reduce its level of gearing incurred primarily
in establishing these business ventures as a consequence of the subsequent
listing of OrlyFunt.
The R90.8 million operating loss for the period compared to an operating profit
of R37.7 million for the corresponding period last financial year, stems mainly
from the fair value adjustment for various investments held by JCI, in
accordance with accounting standard AC 133 - `Financial Instruments:
Recognition and Measurement`. Finance costs increased for the period under
consideration as a consequence of the financing of the empowerment joint
ventures referred to above, and will reduce significantly once the OrlyFunt
deal is consummated.
The strength of the Rand adversely impacted on the earnings reported by
associates Randgold & Exploration and Western Areas, as reflected in the R79.9
million loss from associates as compared to the R61.9 million profit for the
same period ended 30 September 2003. As the Angolan diamond concessions owned
by Randgold & Exploration star t producing economically and production
commences in July 2005 at Randgold Resources` Loulo mine, the Randgold &
Exploration earnings in the current year will improve. With the commencement of
operations from the new South Deep Twin Shaft in November 2004, Western Areas
will star t to show the earnings potential envisaged from this investment
reversing the negative trend despite the Rand strength.
Going concern
The future cash requirements of the Group will be satisfied by a combination of
facilities raised and in the longer term by income from investments,
particularly from mining operations that are coming on stream.
Audit review
The interim results have been reviewed by the Group`s auditors, Charles Orbach
& Company. In their review report, they have included an emphasis of matter
paragraph drawing attention to the directors` statement in the commentary
relating to going concern. A copy of their report is available for inspection
at the Company`s registered office.
