RESULTS OF THE OFFER TO MICC UNITHOLDERS AND WITHDRAWAL OF CAUTIONARY
ANNOUNCEMENT
The proposed offer by Vukile to acquire the entire issued capital of MICC
Property Income Fund Limited (`MICC`) (`the offer`) closed on Friday, 14 January
2005.
The offer was accepted by MICC unitholders holding 37 480 089 MICC linked units,
representing 55.9% of MICC`s issued capital. As a result of these acceptances,
and together with the Sanlam acquisition (detailed in the announcement dated 14
December 2004), Vukile now holds 49 258 244 MICC linked units, representing
73.5% of MICC`s issued capital.
As the offer was not accepted by offerees holding 90% or more of the offer
linked units, Vukile is not entitled to invoke the provisions of section 440K of
the Companies Act to compulsorily acquire the MICC linked units from the
offerees who did not accept the offer.
As the results of the offer are known, Vukile unitholders are no longer required
to exercise caution when dealing in their Vukile linked units.
