INTERNATIONAL MULTI-MANAGERS (PROPRIETARY) LIMITED INTO A NEW ASSET MANAGEMENT
COMPANY (`AM HOLDCO`)(`THE MERGER`) AND CASH DISTRIBUTION TO M CUBED
SHAREHOLDERS:
- RESULT OF GENERAL MEETING
- REMINDER OF RECORD DATE FOR CASH DISTRIBUTION
At the general meeting of m Cubed shareholders held on Friday, 28 January
2005, all resolutions proposed were passed by the requisite majorities of
shareholder votes.
The only condition precedent to the merger which remains unfulfilled is the
grant by the Financial Services Board of a license to AM Holdco to carry on
business as an asset manager.
Subject to the fulfilment or waiver of the condition precedent referred to
above by Friday, 4 February 2005, the proposed distribution by m Cubed of
13,33333 cents per m Cubed share to m Cubed shareholders in cash (`the cash
distribution`) will be implemented as announced on SENS on 23 December 2004
and in the press on 24 December 2004. The last day to trade to be eligible
for the cash distribution is Friday, 4 February 2005. The record date for
participation in the cash distribution is Friday, 11 February 2005. The date
of payment for the cash distribution is Monday, 14 February 2005. In the
event of the condition precedent referred to above not being fulfilled or
waived by Friday, 4 February 2005 the dates for implementation of the cash
distribution as set out above will be revised. Shareholders will be informed
of any revised dates by announcement on SENS and in the press.
Following on the merger, Ms A Cabot-Alletzhauser has resigned as a director of
m Cubed with effect from 28 January 2005. Mr C M B Bothner has resigned as
Chairman of the board of directors but remains an independent non-executive
director. Mr J du Toit has been appointed non-executive Chairman of the board
with effect from 28 January 2005.
