FAIR AND REASONABLE STATEMENT ON TRANSACTION
Shareholders are advised, that further to the announcement on 7 December 2004
regarding the introduction of Black Economic Empowerment (`BEE`) shareholders
into Group operating subsidiaries providing these companies with empowered
status (`the Empowered Transaction`), Primeserv obtained a positive fair and
reasonable statement from Fisher Hoffman PKF (Jhb) Inc on the Empowered
Transaction as required by paragraph 10.7(b) of the JSE Listings Requirements.
This fair and reasonable statement is open for inspection during office hours at
the registered offices of Primeserv for the next 28 days.
