EXTENSION OF DATE FOR FULFILMENT OF CONDITIONS PRECENDENT
Shareholders are referred to the announcement dated 28 January 2005 in which
Metrofile advised that the requisite majorities of Metrofile shareholders had
approved the six resolutions proposed at the general meeting and that the sale
agreements in relation to the BEE transaction, the Seabrooke transaction and the
Staff transaction (as defined in the circular dated 17 December 2004) had been
amended to extend the date of the fulfilment of the suspensive conditions to 7
February 2005.
Due to delays being experienced in the registration of the special resolution
relating to the subdivision of the ordinary share capital of Metrofile
(Proprietary) Limited, the implementation of the BEE transaction, the Seabrooke
transaction and the Staff transaction has been extended until 21 February 2005.
