At the time of the granting of the general authority and subsequent to the

the impact of the repurchases and were of the opinion that:-
5.1 Tiger Brands and the Group will be able, in the ordinary course of
business, to pay its debts for a period of 12 months;
5.2 the consolidated assets of Tiger Brands and the Group are in excess of the
consolidated liabilities, measured in accordance with the accounting policies
used in the audited annual financial statements for the years ended 30 September
2003 and 30 September 2004;
5.3 the ordinary share capital and consolidated reserves of Tiger Brands and
the Group will be adequate for a period of 12 months; and
5.4 the working capital of Tiger Brands and the Group will be adequate for a
period of 12 months.
6. FINANCIAL EFFECTS
As stated above, the repurchases of the 5,116,330 Tiger Brands ordinary shares
(3.04%) commenced on 31 May 2004. Of this amount, 2,616,118 ordinary shares
(1.56%) were purchased before the 2004 financial year-end and the financial
effects of these repurchases were already accounted for in Tiger Brands audited
results for the year ended 30 September 2004, published on SENS on 18 November

Notes
1 The `Before the repurchase` financial information has been extracted, without
adjustment, from the published, audited consolidated annual financial results of
Tiger Brands for the financial year ended 30 September 2004. These results
include those of The Spar Group Limited (`Spar`).
2 The basic and headline earnings per share calculations have been based on the
assumptions that the repurchases since 30 September 2004 were implemented on 1
October 2003 and were effective for the full financial year ended 30 September
2004. The `Before the repurchase` calculations are based on the weighted
average number of shares in issue for the financial year ended 30 September 2004
( 167 567 031 shares). The `After the repurchase` calculations are based on
the adjusted weighted average number of shares in issue for the financial year
ended 30 September 2004 (165 066 819 shares)
3 The net asset value and net tangible asset value per share calculations have
been based on the assumption that the repurchases were implemented on 1 October
2003. The `Before the repurchase` net asset value and net tangible asset value
per share calculations are based on shareholders` ordinary equity at 30
September 2004 divided by the total number of Tiger Brands shares in issue at 30
September 2004 ( 166 147 552 shares). This figure is net of the 2 616 118
treasury shares held as at 30 September 2004. The `After the repurchase`
calculations are based on 163 647 340 shares in issue at 30 September 2004,
after deducting the additional 2 500 212 shares repurchased since 30 September
2004.
4 The `Pro forma` financial information (excluding SPAR) for the year ended 30
September 2004 has been presented on the basis that SPAR was unbundled with
effect from 1 October 2003. This `pro forma` information reflects the position
before the repurchase of the additional 2 500 212 shares.
7. JSE LISTING
These ordinary shares have been repurchased by a wholly-owned subsidiary of
Tiger Brands, thus none of the ordinary shares will be cancelled nor will the
JSE listing in respect of those shares be terminated.
