WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT
Reference is made to the announcement dated 31 January 2005 wherein HCI
shareholders were informed that HCI was in discussion with the Securities
Regulation Panel (`the SRP`) (which discussions will be ongoing) relating to the
transaction that HCI has entered into for the increase of HCI`s interest in the
Tsogo Group (`the Transaction`).
Shareholders are advised that the SRP has directed that because Fabvest
Investment Holdings Limited (`Fabvest`) is the subject of the Transaction, it is
necessary for an announcement of the Transaction to be mailed to the
shareholders of Fabvest. Fabvest`s advisors have informed HCI that they are
attending to this.
Shareholders are reminded that the Transaction is subject to the fulfilment of
the suspensive conditions referred to in HCI`s detailed announcement of the
Transaction dated 17 December 2004. In this regard, the parties are attending to
make the requisite submissions to the SRP and the other regulatory bodies having
jurisdiction over the Transaction. Shareholders will be updated of material
developments in due course.
Given the above and the prior announcement of details of the Transaction, HCI
shareholders are no longer required to exercise caution in dealing with their
shares in HCI.
