**IMPACT OF AC 133 ON THE RESULTS FOR THE PERIOD
In accordance with the company`s policy to reduce exposure to interest rate
increases, the company has hedged 88% of its loan book as at 31 December 2004
for 3 to 5 year periods. AC 133 requires that loan facilities negotiated for
fixed terms be revalued using the interest rate applicable at the date of the
financial statements. As a consequence of the decline in interest rates this
revaluation adjustment resulted in a book loss of R82 million before tax and a
loss after tax of R58 million for the period. The provision may fluctuate during
the periods of the loans and reduces to zero at the loan repayment dates. This
transaction has no effect on the cash flow of the company or its ability to
finance the distribution to linked unitholders.

1. Review of operations
The increase in the property portfolio from R0,7 billion in September 2003 to
the current R1,8 billion results in comparisons with the previous periods not
being meaningful.
The distribution per linked unit of 39,00 cents is a 5,4% increase over the
corresponding distribution for the period ended 31 December 2003.
Other income consists mainly of transaction fees paid by Pangbourne Properties
Limited in respect of its acquisition of the eThekwini property portfolio per
Pangbourne`s circular to shareholders dated 24 August 2004.
2. Securitisation and borrowings
The company successfully achieved the first Commercial Mortgage Backed
Securitisation (`CMBS`) in South Africa in November 2004. The advantages of this
form of debt financing include the diversification of funding sources and in the
longer term, the lowering of cost of debt finance.
The securitisation programme resulted in the repayment of R320 million and R480
million of borrowings from Standard Bank and Absa Bank, respectively, which was
funded by way of an issue of bonds which are listed on the Bond Exchange of
South Africa.
Moody`s Investor Services rated 71% of the R800 million bond issue Aaa.za. R330
million of the bonds mature on 1 October 2007 and R470 million matures on 1
October 2009.
The company`s aggregate borrowings of R987 million represents a loan-to-value
ratio of 53% which is in line with the company`s stated policy not to exceed a
ratio of 55%.
3. PORTFOLIO REVIEW
The property portfolio increased from R1,7 billion in 30 June 2004 to R1,8
billion at 31 December 2004. Six properties to the value of R153,9 million
(four of which are in the retail sector) were transferred during the period
under review. Four properties to the value of R31,7 million, which did not meet
the company`s investment criteria, were disposed of. In line with the company`s
strategy, retail usage increased from 25% to 29% and office usage decreased from
37% to 34% since 30 June 2004 from 30 June 2004.
The portfolio is re-valued at the end of each financial year. No account has
been taken of the movement in the property market and its effect on valuations.
4. PROSPECTS
Property fundamentals remain positive and management expect the distribution to
be 82 cents per linked unit for the 2005 year as previously stated in the 2004
annual report.
5. DISTRIBUTION DECLARATION PER LINKED UNIT
Notice is hereby given that a distribution of 39,00 cents (2003: 37,00 cents)
