COMMENTARY
FINANCIAL RESULTS
Pangbourne, in its commitment to provide growth to investors, has declared a
4,7% (2003: 3,7%) increase in its interim distribution to 44,50 cents per
combined unit.
PROPERTY MANAGEMENT
For the half year Pangbourne has had success in renewing 105 leases,
representing 95 588 m2 of lettable area. In the same period 128 new leases were
concluded representing 98 719 m2. The Pangbourne portfolio is currently 94,95%
occupied and the expectations are that these levels of occupancies will continue
for the rest of the financial year. Pangbourne due to its short lease expiry
profile as illustrated in the graph below, allows the company to take advantage
of the firming rental market in South Africa.
ASSET MANAGEMENT
During the interim period 16 buildings were sold realising a net loss of R767
000. These buildings were disposed of as part of the asset management strategy
to improve the quality of the Pangbourne portfolio. A further 26 buildings were
purchased as part of the Strupot portfolio and were transferred into Pangbourne
between November and December 2004 at a forward yield of 13,97%. This
acquisition was funded by debt.
INVESTOR RETURNS
The Pangbourne share price moved from R7,20 at 1 July 2004 to R8,75 at 31
December 2004. This, together with the 49,00 cents distribution which was paid
in October 2004 gave investors a total return of 28,3%. The liquidity in the
market in the interim period for Pangbourne shares was 30,48% of issued combined
units.
Over the last ten calendar years a Pangbourne investor has enjoyed a net
annualised return of 19%.
SNAPSHOT OF PANGBOURNE AT 31 DECEMBER 2004
Pangbourne has a property portfolio of 250 buildings with 914 tenants. The
properties are mainly diversified into Gauteng and KwaZulu-Natal regions, as
these are seen as two of South Africa`s important industrial hubs. Pangbourne
manages all its own properties and those of iFour Properties Limited. The total
value of properties managed by Pangbourne is R3,4 billion.
Pangbourne has a 49,00% investment in iFour Properties Limited which has an A
grade listed portfolio. In this period, iFour has declared an increased
distribution of 5,4%. The average purchase price of this investment was R5,45
per linked unit over a period from March 2003 to October 2004. On 31 December
2004 the iFour Properties Limted`s share price traded at R8,00 reflecting a
capital growth in the investment of 46,79% in just less than two years.
Pangbourne has a 95% investment in Paforma Property Finance (Pty) Limited, which
specialises in short-term financing of property transactions, relating
specifically to transfer duties, agents commission and bridging finance. Paforma
Property Finance (Pty) Limited`s net income grew 226,91% when compared with
prior year`s interim.
BORROWINGS
The board has approved an increase in gearing levels from 40% to 50% of income-
producing assets in order to take advantage of the current low interest rate
cycle and the present economic stability. Pangbourne has hedged 78% of its
borrowings, at an average interest rate of 11,43%.
PROSPECTS
The final distribution is expected to increase to an extent similar to that of
the interim distribution. This expectation of increased distribution has not
been reviewed by or reported on by Pangbourne`s auditors.

ADDITIONAL INFORMATION FOR INVESTORS
Compliance with SA Statements of GAAP, which are in the process of being
harmonised with IAS, and their application on the property loan stock structure,
which is unique to South Africa, has made it difficult for users to interpret
these financial statements. This investor information insertion is aimed at
disclosing to the users the basis on which the distribution per weighted average
number of combined units in issue, was calculated.
A reconciliation has been included to illustrate the accounting adjustments
which were not taken into account in calculating the distribution.

*GAAP requires that the company segregate its debentures and debenture interest
into debt and equity components in the balance sheet, income statement and
statement of changes in equity. This gives rise to a profit in the income
statement in respect of which a notional tax charge of R11,1 million has been
raised, which provision is reversed in the statement of changes in equity where
the equity portion of interest is reflected.
**IMPACT OF AC 133 ON THE RESULTS FOR THE PERIOD
In accordance with the company`s policy to reduce exposure to interest rate
increases, the company has hedged 78% of its loan book as at 31 December 2004
for 3 to 5 year periods. AC 133 requires that loan facilities negotiated for
fixed terms be revalued using the interest rate applicable at the date of the
financial statements. As a consequence of the decline in interest rates this
revaluation adjustment resulted in a book loss of R48 million before tax and a
loss of R7 million after tax for the period. The provision may fluctuate during
the periods of the loans and will be reduced to zero at the loan repayment
dates. This transaction has no effect on the cash flow of the company nor its
ability to finance the distribution to combined unitholders.
ACCOUNTING POLICIES
The interim financial statements are prepared in accordance with South African
Statements of Generally Accepted Accounting Practice and are consistent with
prior periods.
