Fulfilment Of Conditions Precedent
Metrofile shareholders are advised that all the conditions precedent relating to
the BEE transaction, the Seabrooke transaction and the Staff transaction (as
defined in the circular dated 17 December 2004) (`the transactions`) have been
fulfilled and the transactions have been implemented in accordance with the
terms of the agreements that they are subject to. As a result:
* Mineworkers Investment Company (Proprietary) Limited is now a holder of a
25% equity interest in Metrofile (Proprietary) Limited;
* the Metrofile Employees` Share Incentive Trust is now a holder of a 5%
equity interest in Metrofile (Proprietary) Limited; and
* Sabvest Investments (Proprietary) Limited is now a holder of a 5% equity
interest in Metrofile (Proprietary) Limited.
