ACQUISITION AND RENEWAL OF CAUTIONARY ANNOUNCEMENT
Acquisition
Shareholders are advised that DataPro Group has acquired, through DataPro
(Proprietary) Limited (`DataPro`), with effect from 01 September 2004, the
monthly annuity revenue, customers and intangible assets of Wickhit
(Proprietary) Limited (`the vendor`) for a purchase consideration of R1 126
734.70 in terms of an agreement dated 04 November 2004. The purchase
consideration is to be settled in cash, out of DataPro`s cash flow, to the
vendor on various agreed dates. The purchase price is subject to adjustment,
upwards or downwards, based on the value of monthly annuity revenue as at 01
July 2005 and a portion of the purchase price will be retained until the
calculation of the final purchase price. The minimum purchase price is R335
566.40.
Renewal of cautionary announcement
The company has withdrawn from its earlier negotiations. However, the company
has entered into other negotiations, which if successfully concluded, could have
a material effect on the price of the company`s securities. Accordingly,
shareholders are advised to exercise caution until a further announcement has
been made.
