Results of general meeting
At a general meeting of shareholders held today, shareholders approved, inter
alia, the agreement, dated 9 December 2004, entered into between Iliad, Iliad
Africa Investments (Pty) Limited (`Iliad Africa`) and the Women Private Equity
Fund (One) (Pty) Limited (`the WPEF`) relating to:
- the sale by Iliad Africa, a wholly-owned subsidiary of Iliad, of 4 081 268
Iliad ordinary shares to the WPEF or its nominee at a price of 658 cent per
share;
- the subscription by the WPEF or its nominee for 12 243 804 `A` shares of no
par value for a consideration of R122 438; and
- the granting of options by Iliad to the WPEF or its nominee to subscribe
for 12 243 804 Iliad ordinary shares on or before 31 December 2009.
The approved transaction was entered into by Iliad with a view to introducing a
significant Black Economic Empowerment shareholder into Iliad. Following
conclusion of the transaction, the WPEF will hold a 10% voting interest in the
issued share capital of Iliad.
