BLACK ECONOMIC EMPOWERMENT (`BEE`) TRANSACTION - RESULTS OF GENERAL MEETING AND
SALIENT DATES
INTRODUCTION
Shareholders are referred to the announcement dated 2 March 2005 which set out
the details of the BEE transaction in terms of which MIC is to acquire a 16.89%
stake in Prism through a newly incorporated company (`BEEco`).
The BEE transaction is being structured by way of a pro rata offer (`the offer`)
by BEEco to acquire 100 million Prism shares at a price of 40 cents per share.
The offer opened on 2 March 2005 and full details of the terms of the offer are
contained in the circular to Prism shareholders dated 2 March 2005.
RESULTS OF GENERAL MEETING
Shareholders are advised that at the general meeting of Prism shareholders held
at 09:30 on Thursday, 24 March 2005, Prism shareholders approved, by the
requisite majority, the resolution necessary to implement the BEE transaction.

The salient dates of the offer, which is now unconditional, are set out below:
