CAUTIONARY ANNOUNCEMENT
Shareholders are advised that Johnnic has entered into negotiations with Nafcoc
Holding Company Limited with regard to their respective interests in Tsogo
Investment Holdings Limited, a company that has a 51% shareholding in Tsogo Sun
Holdings Limited (`Tsogo Sun`). Tsogo Sun owns hotels and gaming assets. If
successfully concluded, the negotiations will have a material effect on
Johnnic`s share price. Accordingly, shareholders are advised to exercise caution
when dealing in Johnnic`s shares until a further announcement is made.
